Norton Rose Fulbright, working with Hogan Lovells, has advised joint lead managers and co-arrangers Santander Corporate & Investment Banking and Jefferies International Limited on a public securitization of vehicle lease agreements originated by Vehis Finanse. DLA Piper advised Vehis Finanse.

Vehis Finanse is a financial services provider focused on vehicle financing solutions for individuals and businesses. The company is backed by Enterprise Investors.

According to Norton Rose, the transaction involved the true sale securitization of a PLN 1.35 billion portfolio of vehicle leasing agreements. The portfolio was sold to an Irish Designated Activity Company, which was financed by the European Investment Bank, the European Investment Fund, and Banco Santander. The securitized portfolio had previously been financed via a warehouse financing structure, making this the first instance in Poland of such a structure being successfully converted into a public securitization.

The Norton Rose team included Partner Grzegorz Dyczkowski, Consultant Piotr Zawislak, and Associate Julia Pycka.

The DLA Piper team included Warsaw Partner Bartosz Matusik, Counsel Pawel Turek, Associates Krzysztof Stefanowicz and Magdalena Gajur, and Paralegal Kinga Liszka with further team members in London and Ireland.

Editor's Note: After this article was published, White & Case informed CEE Legal Matters that it advised EIB and EIF on this transaction. The White & Case team included Warsaw-based Partner Grzegorz Abram, Local Partner Pawel Zagorski, and Associate Michal Horelik with further teams in Dubai and London also participating.
