Clifford Chance and White & Case Advise on Trinseo’s Sale of German Synthetic Rubber Business to Synthos

Clifford Chance has advised Trinseo S.A. on the sale of its synthetic rubber business in Schkopau, Germany, to Poland-based Synthos S.A. for an enterprise value of USD 491 million. White & Case advised the buyers on the deal.

The transaction, which remains subject to customary closing conditions and regulatory approvals and is expected to close in 2022, includes the transfer of approximately 440 employees and manufacturing and research and development facilities and related intellectual property. According to Clifford Chance, “with the transaction, Trinseo is pursuing a transformation strategy toward becoming a higher margin and less cyclical specialty materials and sustainable solutions provider, focusing on growth in Engineered Materials and CASE applications.”

White & Case’s team included Warsaw-based Local Partner Andrzej Sutkowski and Associates Iwo Malobecki and Maciej Gac, Istanbul-based Competition Advisor Sezin Elcin-Cengiz, and multiple lawyers from the firm's Berlin, Dusseldorf, Frankfurt, Hamburg, and Brussels offices.
