Radu Taracila Padurari Retevoescu has advised Zarea on its acquisition of a 70% stake in the Domeniile Dealu Mare Urlati group. The Carmen Medar Law Office advised the seller.
The transaction remains contingent on regulatory approval.
According to the Carmen Medar Law Office, "the structuring of the transaction was achieved by consolidating the shares and assets of three companies belonging to the Domeniile Dealu Mare Urlati group in a single company, the sale of a package of shares of 70% of the activity included in the perimeter of the transaction, followed by a capital infusion dedicated to the consolidation of the wine field, in parallel with securing the minority position of the seller and ensuring a guaranteed exit for the balance of the 30%."
Zarea is a sparkling wine and wine-based drinks producer in Romania. Domeniile Dealu Mare Urlati is a Romanian vintner.
