Dentons and Gessel Advise on Sale of 65% Stake in Profitroom to MCI Capital Fund

Dentons and Gessel have advised the founders of Profitroom and the Cyber_Folks company respectively on the agreement to sell a 65% stake in Profitroom to the MCI Capital ASI SA fund. Dubinski Jelenski Masiarz reportedly advised the buyer.

The transaction values Profitroom at PLN 290 million and remains contingent on regulatory approval.

Profitroom offers SaaS solutions and marketing services for the hotel industry, helping optimize direct reservations and streamline the management of hotel assets. It employs 250 staff and provides its products to more than 3,000 hotels across 50 countries.

Cyber_Folks specializes in complex hosting services and online support for businesses and individual users. It also helps its customers with domain registration, e-marketing, and SSL certificates.

MCI Capital is a regional private equity fund focused on technology investments. It currently has nearly EUR 700 million of capital under management.

According to Dentons, the new investor is expected to boost Profitroom's overseas expansion and "contribute to its plans to become a global leader in its area of business. Profitroom’s founders will remain in their roles and will be actively involved in its operations."

The Dentons team included Partner Jakub Celinski, Counsel Anna Gulinska, Senior Associate Bartosz Juszczak, and Associate Karolina Gerula.

The Gessel team included Partner Karol Sokol and Managing Associate Michal Osowski.
